Overview

We are looking for a qualified and proactive Company Secretary to manage corporate governance, statutory compliance, and regulatory matters for our fast-growing Solar EPC organisation.

Key responsibilities

  • 1. Corporate Governance & Compliance
  • • Ensure compliance with the Companies Act, 2013, SEBI regulations (if applicable), and other corporate laws.
  • • Maintain statutory registers, records, and filings with ROC (Registrar of Companies).
  • • Filing of forms such as MGT-7, AOC-4, DIR-12, PAS-3, etc.
  • • Draft and implement corporate governance policies.
  • 2. Board & Committee Management
  • • Organize and conduct Board Meetings, Committee Meetings, and General Meetings.
  • • Prepare notices, agendas, board papers, and minutes.
  • • Ensure timely follow-up and implementation of board decisions.
  • 3. Legal & Contractual Matters
  • • Review, vet, and manage EPC contracts, vendor agreements, PPAs (Power Purchase Agreements), and project agreements.
  • • Coordinate with legal counsel for disputes, litigation, and arbitration matters.
  • • Ensure compliance with renewable energy regulatory bodies (e.g., MERC, MNRE guidelines).
  • 4. Secretarial Audit & Due Diligence
  • • Conduct internal secretarial audits and compliance checks.
  • • Support statutory, internal, and secretarial audits.
  • • Handle due diligence for funding, project finance, or investor onboarding.
  • 5. Liaison & Regulatory Coordination
  • • Liaise with ROC, SEBI (if applicable), banks, financial institutions, and government authorities.
  • • Assist in project-related approvals and regulatory documentation.
  • 6. Financial & Investor Support
  • • Support fundraising, private placements, and loan documentation.
  • • Ensure compliance with FEMA regulations (if foreign investment involved).

Requirements

  • Qualification & Experience
  • • Qualified Company Secretary (CS) – Member of ICSI
  • • 3–8 years of experience (preferably in infrastructure, renewable energy, or EPC sector)
  • • Strong knowledge of Companies Act, FEMA, SEBI regulations
  • • Experience in handling private limited or closely held companies preferred

  • • Strong drafting and documentation skills
  • • Good understanding of EPC contracts and renewable energy compliance
  • • Excellent communication and stakeholder management
  • • High integrity and attention to detail
  • • Ability to work independently in a fast-growing environment
